Confidentiality Agreement


I/We being the people named in the Schedule 1 set out below, acknowledge that we are prospective newsagency Buyers and in consideration of Australian Newsagency Sales Pty Limited and the sellers (Vendors) allowing us to inspect information and records pertaining to newsagencies available through Australian Newsagency Sales Pty Limited and/or facilitate an inspection of such newsagencies, we acknowledge and agree as follows:

A	Material supplied by either the Vendor or Australian Newsagency Sales Pty Limited maybe non verified and unaudited trading results, profit & loss reports, balance sheets, projected trading figures and/or industry accepted margins.
B	ALL of the information supplied is OUR sole responsibility to verify and confirm by way of our own due diligence and we agree not to hold Australian Newsagency Sales Pty Limited or its employees responsible for its accuracy, liability, or any loss suffered by us in relation to the information supplied.
C	All of the information supplied by Australian Newsagency Sales Pty Limited to me/us is to be treated as confidential and must not be disclosed to any third party except my/our legal, accounting, bankers and financial advisors who agree to keep the information confidential. We also agree to return any such information and/or copies should I/we not proceed with the purchase.
D	I/we further acknowledge that as a result of my/our enquiries information regarding the operation and marketing of the newsagency will be made available which has a real financial value to the Vendor and should this information become known by the Vendor’s competitors or others wishing to set up in business to compete against the Vendor and that these actions may cause financial hardship, then the Vendor might seek compensation.
E	All appointments for the inspection of the newsagency must be made by Australian Newsagency Sales Pty Limited and I/we agree not to approach the Vendors’ or their staff directly for information relating to the newsagency. I/we understand that Australian Newsagency Sales Pty Limited are not Investment or Financial Advisors and their role in this transaction is to facilitate the flow of information as provided by the Vendor to ourselves and we acknowledge that Australian Newsagency Sales Pty Limited does not in any way investigate, make any professional or other judgement about the material supplied by the Vendor nor arrange its collection and distribution, nor do they assess the truth or accuracy of the information provided to me/us by the Vendor. Previous profit is no guarantee of future performance.
F	Regarding the Privacy Act I/we agree to respect and safeguard the privacy of the Vendor by returning all related material to Australian Newsagency Sales Pty Limited if I/we do not proceed with the purchase of the newsagency. I/we agree that Australian Newsagency Sales Pty Limited can retain our information on their prospective buyers’ database and advise us of any other newsagencies for sale. I/we retain the right to request removal from such database
